Allgemeine Geschäftsbedingungen

Obsidian Way GbR  ·  Stand: April 2026

§1 Geltungsbereich

§2 Vertragsgegenstand

Obsidian Way erbringt ausschließlich Vermittlungsleistungen.

B. per E-Mail an contact@obsidianway.net) an Obsidian Way zu richten.

General Terms and Conditions

Obsidian Way GbR  ·  As at: April 2026

Section 1 — Scope of Application

These General Terms and Conditions (the “GTC”) apply to all contracts between Obsidian Way GbR (hereinafter “Obsidian Way”) and its clients concerning the arrangement of travel and concierge services.

These GTC apply both to consumers within the meaning of Section 13 of the German Civil Code (BGB) and to entrepreneurs within the meaning of Section 14 BGB, unless an express distinction is made.

Deviating or conflicting terms and conditions of the client are not recognised unless Obsidian Way expressly consents to their application in writing.

Section 2 — Subject Matter of the Contract

Obsidian Way provides brokerage services exclusively. The subject matter of the contract is the arrangement of third-party services, in particular:

  • Private jet charter
  • Yacht charter
  • Chauffeur and limousine services
  • Hotel reservations
  • Concierge and special services
  • Individual bespoke services upon request

A contract for the respective service is concluded exclusively between the client and the respective service provider. Obsidian Way does not itself become a contractual partner in respect of the arranged service and assumes no obligation to perform it.

Section 3 — Conclusion of Contract

Inquiries submitted by the client do not constitute a binding offer. Offers made by Obsidian Way are subject to change and non-binding unless expressly designated as binding.

A contract is concluded only once the client accepts an offer (in writing or electronically) and Obsidian Way expressly confirms the order. By accepting the offer, the client acknowledges these GTC.

Section 4 — Prices and Payment Terms

All prices are quoted in euros. The service fee charged by Obsidian Way is stated separately and is subject to statutory value added tax.

Payments for arranged third-party services are treated as pass-through items pursuant to Section 10 of the German Value Added Tax Act (UStG). Such payments are collected in the name of and for the account of the respective service provider and do not form part of the taxable turnover of Obsidian Way.

Unless otherwise agreed, the total amount is due prior to performance of the brokerage activity. The order will be carried out only once payment has been received in full.

Section 5 — Cancellation and Withdrawal

Cancellations must be submitted to Obsidian Way in text form (for example by email to contact@obsidianway.net). As a matter of principle, the service fee is non-refundable once the brokerage activity has been performed.

Arranged third-party services are governed exclusively by the cancellation terms and deadlines of the respective service provider. Obsidian Way informs the client of the applicable cancellation terms of the respective provider prior to conclusion of the contract and documents this information in writing.

Refunds received from third-party providers are forwarded to the client without undue delay.

In the event that an arranged service is unavailable, the client will be informed without undue delay. Any payments already made will be refunded in full in such cases.

Should a service provider cancel the booked service, Obsidian Way will endeavour to arrange an equivalent alternative. Where this is not possible, a full refund including the service fee will be made.

Section 6 — Right of Withdrawal (Consumers Only)

Consumers are generally entitled to a statutory right of withdrawal.

Pursuant to Section 356(4) BGB, the right of withdrawal may expire prematurely where the service has been performed in full, the client has previously given express consent for performance to commence, and the client has confirmed their awareness that they lose the right of withdrawal upon complete performance of the contract.

The full withdrawal instructions are provided to the client in text form prior to conclusion of the contract and are enclosed with the order confirmation.

Section 7 — Liability

Obsidian Way is liable exclusively for the proper performance of the brokerage service. The respective service provider alone is responsible for the performance and quality of the arranged services.

Obsidian Way is liable without limitation in cases of intent or gross negligence, as well as for damage arising from injury to life, body or health.

In the event of a slightly negligent breach of material contractual obligations, liability is limited to the foreseeable damage typical of this type of contract. Any further liability is excluded.

Section 8 — Obligations of the Client

The client is obliged to provide all information required for the performance of the brokerage service completely and correctly. Incorrect or incomplete information may give rise to additional costs, which shall be borne by the client.

Section 9 — Data Protection and Use of Technologies

Personal data is processed in accordance with the privacy policy of Obsidian Way and the applicable data protection provisions, in particular the GDPR.

Obsidian Way uses AI-assisted systems to support the processing of inquiries. These serve exclusively for internal order processing and for optimising the brokerage service. No decision is taken based solely on automated processing within the meaning of Article 22 GDPR. Clients have the right to request human review at any time.

Personal data is disclosed to third parties only to the extent necessary for the performance of the arranged service.

Section 10 — Confidentiality

Obsidian Way undertakes to treat all information received in the course of the business relationship as confidential. Partners and service providers engaged by Obsidian Way are likewise bound to confidentiality.

Section 11 — Force Majeure

Obsidian Way is not liable for delays or failures to perform that are attributable to events of force majeure. These include, in particular, natural disasters, strikes, political events and measures taken by public authorities.

Section 12 — Amendments to these GTC

Obsidian Way reserves the right to amend these GTC in respect of future contracts. Existing contracts are governed exclusively by the GTC in force at the time the contract was concluded.

Section 13 — Governing Law and Place of Jurisdiction

The law of the Federal Republic of Germany applies. The statutory place of jurisdiction applies to consumers. For merchants and entrepreneurs, the place of jurisdiction is Munich.

Section 14 — Final Provisions

Should any provision of these GTC be or become wholly or partially invalid, the validity of the remaining provisions shall remain unaffected. The statutory provision shall apply in place of the invalid provision.

Individual agreements between the parties take precedence over these GTC.
